| KXCI Board Election Policy |
KXCI Board of Directors Election Policy Amended from policy adopted November 2004 For approval April 2007
This policy will serve to implement BOD and staff direction to increase awareness of BOD candidates and ensure fair and open elections.
1. The BOD will appoint a standing election committee to supervise election procedures in conjunction with the staff and volunteers.
2. Announcements for the nomination process will be aired at least 30 days to the close of nominations. The election announcement will also be posted at KXCI and on the website.
3. To be nominated, candidates must submit a nomination form before deadline. Nominations forms must include the signatures of at least 3 FCB members in good standing or 1 current member of the BOD. Candidates must be members in good standing of KXCI and meet all bylaw criteria.
4. Ballots will be prepared by the staff. Ballot statements by nominated candidates to accompany BOD election ballots will be 150 words. Ballots will be reviewed by the BOD election committee and the volunteer election committee prior to mailing.
5. Ballots will be mailed to all members by the staff and volunteer committee within 21 days of the close of nominations. The voting period will be no less than 21 and no more than 35 days.
6. KXCI will host a minimum of one member reception for members to meet BOD candidates within 14 days of the mailing of the ballot.
7. During the week following the mailing of the ballot, KXCI will schedule a special 30 minute election show where each candidate will be offered time for a prepared statement explaining their positions. This program will be aired at least one other time prior to the election.
8. At the beginning of the nomination process, KXCI shall air announcements requesting the participation of volunteer members for an election committee which will monitor election procedures. Three members of this volunteer committee will be chosen by a random drawing from all submissions. The volunteer election committee will be chaired by the head of the BOD election committee. This sub-committee will include three volunteers, two staff members and one member from the BOD.
9. Ballots shall be mailed out with a self-addressed envelope. All ballots returned by mail shall be delivered to a special election PO Box. This box shall be opened only by the CPA. Key to this mailbox will be held by the CPA selected to manage the count. Any ballots hand delivered to the station shall be stamped and returned to the voter.
10. Validity of ballots is determined as follows: Ballots must be legible, must include the name and signature of a member in good standing of the Foundation, ballots must either be postmarked on or before the date of the close of election.
11. Individual member ballots count as one vote. Family membership ballots are counted as a single vote, with each member of the family casting a portion of that vote (e.g. two members, each ballot = ½ vote; three members, each ballot = 1/3 vote, etc.)
12. The election count will be supervised by a CPA with no other business relationship with the Foundation for Creative Broadcasting, KXCI, members of the BOD, staff or any candidate for election.
13. Within 3 business days of the close of balloting, the CPA, the volunteer election committee and designated representatives of the staff and BOD will meet for the ballot count.
14. Count procedures will be determined and managed by the CPA. CPA shall separate those involved in counting the ballots into two groups. Count procedures will include the numbering of ballots, separation of the voting section of the ballot from the membership section, confirmation of membership status by one group and counting of the votes by the second group.
15. Certification of the election results requires agreement by the CPA, the Chair of the volunteer election committee and the designated BOD election representative. The CPA shall present to the BOD a document which certifies the election result.
16. Certified BOD election results will be presented at the first regularly scheduled BOD meeting following the count for acceptance by the BOD. BOD acceptance is on a majority vote of the members present at that meeting, subject to the presence of a quorum. Elected members will be seated immediately following the acceptance of the election result.

We are happy to announce that Ron Cipriani is our new Volunteer Representative on the KXCI Board of Directors. Congratulations, Ron!
We
would like to recognize both Jim Lipson and Margo Veranes for their
time and dedication to KXCI. Margo completed her term and Jim Lipson
resigned his post in June 2007.

Open Meetings Statement: 2004
The KXCI Board of Directors met in Executive Session at the BOD
meetings in January, February, March, May and June of 2004 to meet with
FCB corporate counsel, seeking legal advice regarding the threat of
pending litigation. The FCB BOD adheres to all rules and regulations
regarding its open meeting obligations and took no action within any of
those executive sessions.
The KXCI BOD met in Executive Session at the BOD meeting in August,
2004 for the sole purpose of discussing confidential issues related to
staff management and contracts.
Open Meetings Statement: 2005
The Foundation for Creative Broadcasting
met in closed executive sessions on five occasions in 2005. These
closed sessions were for the purpose of discussing confidential matters
regarding staff or legal issues. The BOD Secretary is directed to
ensure that the purpose of any future executive session be included in
the BOD minutes.
Open Meetings Statement: 2006
The KXCI Board of Directors met in closed executive sessions on nine
occassions in 2006. These closed sessions were for the purpose of
discussing confidential matters regarding staff or legal issues. The
Board of Directors took no action within any executive session. |
| KXCI Bylaws |
KXCI (FCB) Bylaws
The KXCI BOD took comments and suggestions from
members regarding the Foundation Bylaws. Those
suggestions were reviewed by the Bylaw committee as
well as by legal counsel. The suggestions were
compared with all previous Foundation bylaws, as well
as the bylaws of other community radio stations around
the country. After several meetings, the Bylaws
committee recommended revisions to the existing 2002
bylaws. These changes were approved by the KXCI Board
of Directors at the July meeting. The two buttons
below will link you to the 2002 Bylaws and the revised
2004 Bylaws which were just adopted. To make
understanding the changes easier, the 2004 Bylaws
include color coding. Text in pink indicates changes
due to typographical errors or unclear language.
Green text includes the first round of suggested
changes by the committee. Red type indicates the
final changes approved by the committee.
The BOD would like to thank all of those who
contributed to this process, including the members who
gave their ideas and suggestions and the Bylaw
committee members who worked diligently to review all
the various suggested changes.
These revised bylaws will give KXCI and the FCB the
ability to effectively manage and protect KXCI now and
for the future."
