The KXCI Board of Directors met in Executive Session at the BOD
meetings in January, February, March, May and June of 2004 to meet with
FCB corporate counsel, seeking legal advice regarding the threat of
pending litigation. The FCB BOD adheres to all rules and regulations
regarding its open meeting obligations and took no action within any of
those executive sessions. The KXCI Board of Directors met in closed executive sessions on nine
occassions in 2006. These closed sessions were for the purpose of
discussing confidential matters regarding staff or legal issues. The

KXCI (FCB) Bylaws The KXCI BOD took comments and suggestions from members regarding the Foundation Bylaws. Those suggestions were reviewed by the Bylaw committee as well as by legal counsel. The suggestions were compared with all previous Foundation bylaws, as well as the bylaws of other community radio stations around the country. After several meetings, the Bylaws committee recommended revisions to the existing 2002 bylaws. These changes were approved by the KXCI Board of Directors at the July meeting. The two buttons below will link you to the 2002 Bylaws and the revised 2004 Bylaws which were just adopted. To make understanding the changes easier, the 2004 Bylaws include color coding. Text in pink indicates changes due to typographical errors or unclear language. Green text includes the first round of suggested changes by the committee. Red type indicates the final changes approved by the committee. The BOD would like to thank all of those who contributed to this process, including the members who gave their ideas and suggestions and the Bylaw committee members who worked diligently to review all the various suggested changes.
